Description

Written record of your corporation or LLC’s annual meeting is a requirement in California (Code Section 1500). Your meeting’s Minutes may be requested during an IRS audit, lawsuits, business loans and the like.

Apart from the state requirement, the annual meeting minutes is an important document that memorializes your business’ activities over the past year, including the election of Officers (for Corporations) and Members (for LLCs) in the coming year.

The Statement of Information (SI) form documents general information about your business for the coming year. It is filed annually for Corporations and biennially for Limited Liability Companies (LLCs) with the Secretary of State.

Failure to file the required SI Form with the Secretary of State may result in penalties and suspension or forfeiture of your business.
